1. Agreement to Terms

By submitting a fundraiser application to Chamoda’s LLC (“Chamoda’s,” “Company,” “we,” “us,” or “our”), the applying organization (“Organization,” “Applicant,” “you,” or “your”) agrees to be bound by these Fundraiser Application Terms & Conditions.

Submission of an application does not guarantee approval.

2. Eligibility

To apply, the Organization must:

  • Be a legally recognized school, nonprofit, church, team, club, or community organization

  • Have an authorized representative submit the application

  • Provide accurate and complete information

  • Agree to comply with all applicable local, state, and federal laws

Chamoda’s LLC reserves the right to verify eligibility and request supporting documentation.

3. Application Approval

  • Approval is granted at the sole discretion of Chamoda’s LLC.

  • Chamoda’s LLC may approve or deny any application without explanation.

  • Approval may be revoked if false information is discovered.

No fundraising activities may begin until written approval is provided.

4. Fundraising Structure

Upon approval:

  • The Organization will receive details outlining commission rates, timelines, and sales procedures.

  • All product pricing and promotional materials must be used as provided or approved by Chamoda’s LLC.

  • Organizations may not alter pricing or product descriptions without written consent.

Chamoda’s LLC reserves the right to modify product offerings or fundraising terms with notice.

5. Financial Terms

  • Commission percentages will be clearly stated prior to launch.

  • Payouts will be issued after the fundraising period closes and all transactions are finalized.

  • Refunds are limited in accordance with Chamoda’s LLC policies.

  • Chargebacks or disputed payments may reduce the Organization’s final payout.

Chamoda’s LLC reserves the right to withhold payouts if fraudulent activity or policy violations are suspected.

6. Marketing and Promotion

Organizations agree to:

  • Promote the fundraiser ethically and truthfully.

  • Avoid misleading or false claims about products or fundraising outcomes.

  • Use only approved logos, branding, and marketing materials.

Chamoda’s LLC retains ownership of all branding and intellectual property.

7. Compliance with Laws

The Organization is responsible for ensuring:

  • Compliance with fundraising laws in their state or locality.

  • Required permits or registrations are obtained.

  • Proper disclosure to supporters regarding the fundraising purpose.

Chamoda’s LLC is not responsible for the Organization’s failure to comply with local regulations.

8. Food Product Acknowledgment

Organizations acknowledge that:

  • Products sold are food items.

  • Sales are final in accordance with Chamoda’s Return & Refund Policy.

  • Replacement policies apply only for damaged or defective items as outlined in official policies.

Organizations must clearly communicate these policies to supporters.

9. Prohibited Activities

Organizations may not:

  • Misrepresent Chamoda’s LLC or its products.

  • Alter pricing.

  • Use deceptive sales practices.

  • Conduct unauthorized parallel sales of similar products under the Chamoda’s name.

  • Collect payments outside of the approved system unless expressly authorized.

Violation may result in immediate termination of the fundraiser.

10. Termination

Chamoda’s LLC reserves the right to terminate a fundraiser at any time if:

  • Policies are violated.

  • Fraudulent activity is suspected.

  • Misrepresentation occurs.

  • The Organization engages in conduct that harms Chamoda’s LLC’s reputation.

11. Limitation of Liability

To the fullest extent permitted by law, Chamoda’s LLC shall not be liable for:

  • Lost fundraising profits

  • Indirect or consequential damages

  • Delays in shipping

  • Platform or technical disruptions

Chamoda’s LLC’s total liability shall not exceed the amount of commission owed to the Organization.

12. Indemnification

The Organization agrees to indemnify and hold harmless Chamoda’s LLC from any claims, damages, or liabilities arising from:

  • The Organization’s fundraising activities

  • Misrepresentation to supporters

  • Violation of laws or regulations

  • Breach of these Terms

13. Data Use

Information submitted in the application may be used to:

  • Evaluate eligibility

  • Communicate about fundraising opportunities

  • Maintain business records

Chamoda’s LLC does not sell applicant information to third parties.

14. Independent Relationship

Nothing in this agreement creates a partnership, employment relationship, or joint venture between Chamoda’s LLC and the Organization.

The Organization operates as an independent entity.

15. Governing Law

These Terms shall be governed by the laws of the State of [Insert State].

Any disputes shall be resolved in the courts of that state.

16. Modifications

Chamoda’s LLC reserves the right to update these Terms at any time. Continued participation in the fundraising program constitutes acceptance of revised Terms.
